| Acceptance of Terms,
Conditions of sale and Warranty These terms are applied to all offers, legal agreements, actions, announcements, handlings and services between you ("Customer") and Argolis BV. By accessing, browsing and/or using this site, you acknowledge that you have read, understood, and agree, to be bound by these terms and to comply with all applicable laws and regulations. If you do not agree to these terms, do not use this site. This agreement also contains the terms and conditions that apply to your purchase (or other legal relationship). By accepting delivery of our products described on an invoice, customer agrees to be bound by and accepts these terms and conditions. These terms and conditions may not be altered, supplemented, or amended by the use of any other document(s). Any attempt to alter, supplement or amend this document or to enter an order for product(s) which is subject to additional or altered terms and conditions will be null and void, unless otherwise agreed to in a written agreement signed by both Customer and Argolis BV. These terms and conditions are subject to change without prior written notice at any time, in Argolis BV's sole discretion. Every agreement and any sales thereunder will be governed by the laws of the Netherlands, without regard to conflicts of laws rules. All (legal) conflicts with Argolis BV will only be taken into court in the Netherlands. Orders and Quotes Orders are not binding upon Argolis BV until accepted by Argolis BV. An invoice can be considered as an order acceptance. If orders and riders are confirmed by Argolis BV, the customer is committed as stated in the confirmation. Order acceptance, riders or modifications by staff or authorised persons is only valid if confirmed by Argolis BV in writing. Argolis BV determines the way the agreement will be carried out. Authorised representatives can carry out the agreement. The customer will provide all information/documentation, which Argolis BV thinks are necessary to carry out the agreement, in time. Argolis BV is never liable for damage, due to wrong information/documentation, even if provided with bona fides. Argolis BV may hold all information/documentation, until the customer has fulfilled all obligations. Any quotations given by Argolis BV will be valid for the period stated on the quotation. Argolis BV has the right to alter the quotations at any time, without giving notice in advance. The customer can only cancel the order on a legal title or the return policy. If the customer cancels the order, Argolis BV is entitled to 10% of the invoice for costs made by Argolis BV. Payment Terms Terms of payment are within Argolis BV's sole discretion, and unless otherwise agreed to by Argolis BV, Argolis BV must receive payment prior to Argolis BV's acceptance of an order. Payment for the products will be made by credit card, wire/bank transfer, or some other prearranged payment method unless credit terms have been agreed to by Argolis BV. If you send money by mail, you accept that it is your resonsibility if your mail is lost in the post. Invoices are due and payable within 14 days, measured from the date of the invoice. Argolis BV may invoice parts of an order separately. If payment is not received within 14 days, the customer will be, without given any notice from Argolis BV, be in omission and will be liable for all legal costs (with a minimum of 75USD). Customer agrees to pay interest on all past-due sums at the highest rate allowed by law. Shipping Charges; Taxes. Normally our products are offered incl. taxes and p&p. In applicable separate charges for shipping and handling will be shown on Argolis BV’s homepage and invoice(s). Unless Customer provides Argolis BV with a valid and correct tax exemption certificate applicable to the product ship-to location prior to Argolis BV's acceptance of the order, the Customer is responsible for sales and all other taxes associated with the order, however designated, except for Argolis BV's franchise taxes and taxes on Argolis BV's net income. If applicable, a separate charge for taxes will be shown on Argolis BV's invoice. Argolis BV can not quarantine the delivery time for the products and will not take any liability in delay of the estimated delivery time. Title; Risk of Loss. Argolis BV guarantees the products for a period of one year after the date of purchase against defects due to faulty workmanship or materials. The guarantee covers both replacement parts and labour. This guarantee complements the existing Dutch guarantee obligations. Service under guarantee is only provided upon |
